Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you and Flowbriq Technologies Private Limited ("Flowbriq", "we", "us", or "our"), governing your access to and use of the Flowbriq mobile application and any related services (collectively, the "Service").

By downloading, installing, registering for, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

Flowbriq is a business management platform designed for the construction industry and related trades in India. The Service includes:

• Project Management - Create, track, and manage construction projects with location-based attendance and team coordination.
• CRM (Parties) - Manage your network of clients, vendors, staff, workers, and investors in a centralized directory.
• Team Management - Invite and manage team members across projects.
• Document Management - Store and retrieve KYC documents, contracts, and other business files.
• Company Administration - Manage company profile, GST/PAN details, addresses, and billing information.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable.

To use the Service, you must:

• Be at least 18 years of age.
• Be a duly authorised representative of the company or business you register.
• Have a valid mobile phone number capable of receiving OTP messages.
• Not be prohibited from using the Service under applicable Indian laws or regulations.
• Not have a previously terminated Flowbriq account due to a violation of these Terms.

The Service is intended for business use within India. By using the Service, you represent that you meet all of the above requirements.

Registration. Access to the Service is granted after verifying your mobile phone number via a one-time password (OTP). During onboarding you will provide your company details and personal profile information.

Accuracy. You agree to provide accurate, current, and complete information during registration and to keep it up to date. Providing false or misleading information is a breach of these Terms and may result in immediate account suspension.

Account security. You are responsible for:

• Keeping your device and the app secure.
• Not sharing your OTP, access tokens, or session credentials with any third party.
• Notifying us immediately at support@flowbriq.com if you suspect unauthorised access to your account.

One account per user. Each mobile phone number may be associated with only one Flowbriq user account.

Company owner role. The user who registers a company is designated its "Owner" and has full administrative rights over the company account, including the ability to invite members and manage billing. Company owners are responsible for all activity that occurs under their company account.

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to store, transmit, or process data that violates any applicable law, including the Information Technology Act, 2000 and rules made thereunder.
• Upload or share content that is defamatory, obscene, fraudulent, threatening, or otherwise unlawful.
• Attempt to gain unauthorised access to the Service, our servers, or any other user's account.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated tools, bots, scrapers, or crawlers to access or extract data from the Service without our written permission.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Transmit viruses, malware, or any other harmful or destructive code.
• Use the Service in any manner that disrupts or places an unreasonable load on our infrastructure.
• Resell, sublicense, or provide access to the Service to third parties without our prior written consent.
• Use the Service to store or process sensitive financial data beyond what is needed for the permitted business purposes described in Section 2.

Trial. New company accounts begin on a Trial plan, granting access to core features for a limited period. Trial terms (duration, feature limits) are communicated in-app and may change.

Paid plans. When offered, paid subscription plans will be described in-app with clear pricing and features. By subscribing to a paid plan, you authorise us to charge the applicable fees to your chosen payment method on the stated billing cycle.

Renewals & cancellations. Subscription details, renewal dates, and cancellation policies will be specified at the time of purchase and are incorporated into these Terms by reference.

Refunds. All fees are non-refundable except as required by applicable law or as otherwise expressly stated in a separate agreement with you.

Ownership. You retain ownership of all data, files, and content you submit to the Service ("User Content"). We do not claim any intellectual property rights over your User Content.

License to us. By submitting User Content, you grant Flowbriq a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely to provide and improve the Service.

Responsibility. You are solely responsible for the accuracy, legality, and quality of the User Content you upload. This includes ensuring you have the right to collect and store any personal data about third parties (such as your employees, workers, or vendors) in accordance with applicable law.

Sensitive data. The Service allows you to store sensitive personal information - including Aadhaar numbers, PAN numbers, PF/UAN/ESI numbers, and copies of identity documents - for your parties (employees, contractors, vendors). You are responsible for obtaining the necessary consents from those individuals and for complying with all applicable data protection laws before uploading such information.

Data backup. While we implement commercially reasonable measures to protect your data, we are not a backup service. You are encouraged to maintain your own copies of critical business data.

The Service, including its software, design, text, graphics, logos, and all other content (excluding User Content), is owned by or licensed to Flowbriq and is protected by copyright, trademark, and other intellectual property laws of India and applicable international conventions.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No other rights are granted.

"Flowbriq" and the Flowbriq logo are trademarks of Flowbriq Technologies Private Limited. You may not use them without our prior written consent.

The Service may integrate with or rely upon third-party services (such as cloud storage, SMS gateways, and mapping providers). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times.
• Any errors or defects will be corrected.
• The Service or the servers hosting it are free of viruses or other harmful components.
• The results obtained from using the Service will be accurate or reliable.

The foregoing disclaimers apply to the maximum extent permitted by applicable law.

To the maximum extent permitted by applicable law, Flowbriq and its directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business opportunities, or goodwill.
• Any damage arising from unauthorised access to or alteration of your data.
• Any damage resulting from your reliance on information obtained through the Service.

In no event shall our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the fees paid by you to Flowbriq in the twelve (12) months preceding the event giving rise to the claim, or (b) ₹5,000 (Indian Rupees Five Thousand).

You agree to indemnify, defend, and hold harmless Flowbriq and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service in violation of these Terms.
• Your User Content, including any claim that it infringes a third party's intellectual property rights or violates applicable law.
• Your violation of any applicable law, rule, or regulation.
• Your failure to obtain the necessary consents for storing third-party personal data.

By you. You may stop using the Service and delete your account at any time by contacting us at support@flowbriq.com.

By us. We may suspend or permanently terminate your access to the Service, with or without notice, if:

• You materially breach any provision of these Terms.
• We reasonably believe continued access poses a risk to other users, the Service, or third parties.
• Required by applicable law or court order.
• Your account has been inactive for an extended period (details communicated in-app).

Effect of termination. Upon termination, your right to access the Service ceases immediately. We will retain your data for a period as described in our Privacy Policy before deleting it. Sections 7, 8, 10, 11, 12, and 14 survive termination.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law provisions.

Dispute resolution. You agree to first attempt to resolve any dispute informally by contacting us at legal@flowbriq.com. If the dispute is not resolved within 30 days, either party may escalate the matter to the appropriate courts.

Jurisdiction. Subject to the above, any legal action or proceeding shall be brought exclusively in the courts located in Pune, Maharashtra, India, and both parties consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, for material changes, provide in-app notification or send you an email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Service before the effective date of the changes.

As required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, our Grievance Officer can be reached at grievance@flowbriq.com. Grievances will be acknowledged within 24 hours and resolved within 15 days.
